1. Definitions

In these Terms and Conditions, the following definitions apply: "Service" refers to the AI integration consulting and training programmes offered by Suan Grid. "User" or "you" refers to any individual or entity accessing our website or engaging our services. "We", "us", or "our" refers to Suan Grid, registered at 56/7 Thappraya Road, Nong Prue, Bang Lamung, Chonburi 20150, Thailand. "Agreement" refers to these Terms and Conditions together with any specific engagement proposal or contract entered into between us and you. "Content" refers to all text, images, data, and materials published on our website.

2. Acceptance of Terms

By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you are acting on behalf of a company or other organisation, you confirm that you have the authority to bind that organisation to these terms. You must be at least eighteen years of age to use our website or engage our services. If you do not agree with any part of these terms, please discontinue use of our website.

3. Service Description

Suan Grid provides AI integration consulting and employee training services for businesses. Our current programmes include the AI Awareness Briefing for Leadership (a half-day executive session), AI Workflow Design and Staff Training (a six-week engagement with four weeks of post-training support), and AI Center of Competency Development (a twenty-week programme). We reserve the right to modify, update, or discontinue any programme at our discretion, with reasonable notice to affected clients.

4. User Responsibilities

When using our website, you agree to use it only for lawful purposes and in a manner consistent with these terms. You must not attempt to gain unauthorised access to our systems or data, introduce malicious software or harmful code, reproduce, distribute, or modify our website content without prior written permission, or impersonate any person or entity when communicating with us. When engaging our services, you agree to provide accurate information, make personnel and resources available as agreed in the engagement scope, and communicate openly about any factors that may affect programme delivery.

5. Intellectual Property

All content on our website, including text, graphics, logos, and design elements, is the property of Suan Grid or its licensors and is protected by Thai and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and view our website content for personal, non-commercial purposes. Programme materials, reference guides, playbooks, and frameworks delivered as part of our services are provided for the internal use of the engaging organisation. Redistribution, resale, or sharing of programme materials with third parties is not permitted without our written consent.

6. Payment Terms

Published programme prices are stated in Thai Baht (THB) and reflect the standard scope described for each programme. Payment terms are outlined in individual engagement proposals. Unless otherwise agreed in writing, payment is due according to the schedule specified in the engagement proposal. If your situation requires adjustments beyond the standard programme scope, these will be discussed and agreed upon in writing before any additional work begins. We accept payment via bank transfer to our designated business account. Details will be provided in the engagement proposal.

7. Cancellation and Rescheduling

Cancellation and rescheduling policies are specified in individual engagement proposals. As a general guide: cancellations made more than fourteen days before a scheduled session are eligible for a full refund or rescheduling at no additional cost. Cancellations within seven to fourteen days may be subject to a rescheduling fee. Cancellations within seven days of a scheduled session are generally non-refundable, though we will make reasonable efforts to accommodate rescheduling. For multi-week programmes, early termination terms are outlined in the specific engagement agreement.

8. Service Delivery

Programmes are delivered according to the scope, schedule, and format agreed upon in the engagement proposal. We make reasonable efforts to adhere to agreed timelines, though minor adjustments may be necessary due to scheduling constraints or unforeseen circumstances. All parties will be notified promptly of any changes. Delivery may take place at the client's premises, at our Chonburi facility, or via remote conferencing, as agreed. Materials and deliverables will be provided in the formats specified in the engagement proposal.

9. Confidentiality

Both parties agree to treat as confidential any non-public information shared during the engagement. This includes business processes, organisational data, strategic plans, and programme materials. Confidentiality obligations survive the termination of the engagement and remain in effect for a period of two years unless otherwise specified in the engagement agreement. A separate non-disclosure agreement will be executed at the start of each engagement where client data will be reviewed.

10. Disclaimers

Our services are provided on an "as is" basis with respect to general AI capabilities and the evolving nature of AI technology. While we strive to deliver high-quality consulting and training, we do not make representations about specific business outcomes, as results depend on numerous factors beyond our control, including your organisation's internal commitment, resource allocation, and market conditions. Our website content is provided for general information purposes. It does not constitute professional advice, and we recommend seeking independent professional counsel for specific business decisions.

11. Limitation of Liability

To the maximum extent permitted by Thai law, our total liability arising from or relating to these terms or any engagement shall not exceed the total fees paid by you for the specific programme giving rise to the claim. We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Nothing in these terms excludes or limits liability for matters that cannot be excluded or limited under applicable Thai law.

12. Force Majeure

Neither party shall be held liable for failure or delay in performing obligations under these terms where such failure or delay results from circumstances beyond reasonable control, including natural disasters, government actions, epidemics, civil unrest, or significant disruptions to communication or transportation infrastructure. The affected party shall notify the other party promptly and make reasonable efforts to mitigate the impact.

13. Termination

Either party may terminate an engagement by providing written notice as specified in the engagement proposal. We reserve the right to suspend or terminate access to our website if these terms are violated. Upon termination of an engagement, you retain the right to use any materials and deliverables already provided for internal purposes, subject to the intellectual property provisions above. Provisions regarding confidentiality, intellectual property, limitation of liability, and governing law survive termination.

14. Dispute Resolution

These terms are governed by the laws of the Kingdom of Thailand. Any disputes arising from these terms or our services shall first be addressed through informal resolution. If informal resolution is not successful within thirty days, either party may submit the dispute to mediation administered by a mutually agreed mediator in Chonburi Province. If mediation does not resolve the dispute, either party may pursue resolution through the competent courts of Chonburi Province, Thailand.

15. General Provisions

These Terms and Conditions, together with any engagement proposal, constitute the entire agreement between you and Suan Grid regarding the matters addressed herein. If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of that right or provision. We may not assign our obligations under these terms without your consent, except in connection with a merger, acquisition, or sale of substantially all of our assets.

16. Changes to These Terms

We may revise these Terms and Conditions from time to time. When we do, we will update the "Last Updated" date at the top of this page. For significant changes, we will make reasonable efforts to notify affected clients. Your continued use of our website or services after changes take effect constitutes acceptance of the revised terms.
